This End User License Agreement ("Agreement") is a contract between you ("you", the restaurant) and Liasse ("Liasse", "we", "us") governing your use of the Liasse Restaurants service, owner control center, and related applications and integrations (together, the "Service"). By accessing or using the Service, or by connecting a point-of-sale (POS) system to Liasse, you agree to this Agreement. If you do not agree, do not use the Service.
Subject to this Agreement, Liasse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the purpose of operating your restaurant's online ordering and related operations. We retain all rights, title, and interest in the Service.
The Service is intended for restaurant businesses and their authorized staff, not for the general public. You are responsible for the accuracy of the information you provide, for the activity of users you authorize, and for keeping your credentials secure.
You may choose to connect a POS such as Clover or Square. By connecting, you authorize Liasse to access and use your POS account through the provider's OAuth authorization, on your behalf, to (a) read your catalog when you import a menu and (b) create orders and request order printing for orders placed through Liasse. You are responsible for your POS account, your hardware and printer configuration, and for complying with the POS provider's own terms. You may disconnect at any time, which revokes Liasse's stored access. Liasse is not affiliated with, and not responsible for, the POS provider's services or availability.
The Service facilitates order intake and routing. Liasse is not a payment processor and does not collect payment for orders; payment occurs directly between you and your customer (for example, at your counter). You are solely responsible for accepting, preparing, and fulfilling orders; for the accuracy of your menu, prices, availability, and allergen/nutritional information; for collecting and remitting applicable taxes; and for compliance with food-safety and other laws applicable to your business.
You agree not to misuse the Service, including not to: reverse engineer, decompile, or attempt to extract source code; interfere with or disrupt the Service or its security; use it to send unlawful, infringing, or harmful content; or use it in violation of applicable law or the rights of others.
Access to certain features may require a paid subscription. Applicable fees, billing terms, and any trial are presented to you at sign-up or in your dashboard, and may change on notice. Taxes may apply.
The Service, including its software, design, and content provided by Liasse, is owned by Liasse and protected by law. You retain ownership of your own business content (such as your menu and branding) and grant Liasse the rights needed to host and display it to operate the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ORDERS OR PRINTS WILL ALWAYS BE DELIVERED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIASSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO LIASSE FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold Liasse harmless from claims, damages, and expenses arising out of your use of the Service, your content, your orders and their fulfillment, or your violation of this Agreement or applicable law.
This Agreement applies while you use the Service. You may stop using the Service and disconnect any integrations at any time. We may suspend or terminate access if you breach this Agreement or to protect the Service. Provisions that by their nature should survive termination will survive.
This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties submit to the courts located in Quebec for any dispute, to the extent permitted by law.
We may update this Agreement from time to time. The "Last updated" date above reflects the most recent revision; continued use of the Service after a change means you accept the updated Agreement.
